DallasNews Corp. is the holding company of The Dallas Morning News and marketing and media company Medium Giant. Under the merger, DallasNews shareholders will receive an all-cash consideration of $16.50 per share of DallasNews common stock.

New York City-based Hearst Corp.—the media giant that owns everything from A&E Network to Cosmopolitan to 28 daily newspapers across the U.S.—is acquiring DallasNews Corp. and its 140-year-old newspaper by offering a premium of 219% on its stock price. At the deal's close, the Morning News will go private and join the nationwide Hearst Newspapers lineup.
